These Terms of Use are between you and Quiet Harbour Inc. and apply to Phrasis. By downloading or using Phrasis, you agree to them.
1. Licence terms
Phrasis is licensed, not sold. If you obtain Phrasis through Apple’s App Store, Apple’s Standard Licensed Application End User License Agreement governs your licence to the App unless Quiet Harbour Inc. provides a custom end-user licence agreement through App Store Connect for your country or region. Apple’s applicable licence terms and these Terms apply separately: Apple’s terms govern the App Store licence, and these Terms govern your use of Phrasis. If they conflict, Apple’s applicable terms or non-waivable law will control to the extent of the conflict.
Our Privacy Policy explains how Phrasis handles information. It does not form part of these terms.
2. Phrasis
Phrasis is an on-device productivity application that helps you organize material you provide and create user-directed output. Features may vary by device, operating system, language, region, Apple service availability, purchase status, and permissions.
3. Your material
You retain your rights in material you add and in output you create. Quiet Harbour Inc. does not receive or claim a licence to your on-device content.
You are responsible for your material and represent that you have all rights, licences, permissions, and consents needed to capture, process, sign, export, or share it. Your use must comply with applicable privacy, recording, confidentiality, employment, intellectual-property, and document-signing laws.
4. Automated output
Automated recognition and generation may be incomplete or incorrect. You must review output and compare important facts with the original material before relying on, signing, sending, filing, or sharing it. Phrasis output is not legal, medical, financial, safety, compliance, or other professional advice.
5. Local storage
Phrasis does not provide a company-operated cloud backup. Device loss, deletion, corruption, software changes, removal of the App, or loss of an external original may make material unavailable. Maintain any backup required for your work.
6. Permissions and external services
You control optional device permissions and user-directed transfers to other apps or services. A third party’s terms and privacy practices apply after you send information to it. Quiet Harbour Inc. is not responsible for third-party services or their availability.
7. Purchases
Phrasis may offer free or paid access. The price, product type, billing terms, included features, and availability shown by Apple at purchase govern the transaction. Apple processes payment, manages subscriptions where applicable, restores eligible purchases, and handles refund requests under its terms.
8. Health records
You must not use Phrasis to capture, store, process, or share patient records, personal health information, health cards, or health numbers. Phrasis is not offered as a patient-record system or for a regulated health-record workflow.
Phrasis may block or remove material detected as prohibited health information. Detection is not guaranteed. This safeguard is not a representation that Phrasis complies with Ontario’s Personal Health Information Protection Act, 2004 or another regulated health-information regime.
9. Acceptable use
You may not use Phrasis unlawfully; violate another person’s rights; harass, threaten, deceive, or harm anyone; distribute malicious software; interfere with Phrasis or its security; bypass purchase controls; or reverse engineer or redistribute the App except where applicable law permits it.
Do not use Phrasis for emergency response, unlawful recording or surveillance, or any safety-critical purpose.
10. Intellectual property
Phrasis, including its software, interface, branding, documentation, and original content, is owned by Quiet Harbour Inc. or its licensors and protected by applicable law. These terms do not transfer ownership or grant rights beyond the applicable licence.
11. Changes and availability
We may update, change, suspend, or discontinue Phrasis or any feature. Where practical, preserve any material you need before a change that may affect local access.
12. Disclaimer
To the maximum extent permitted by law, Phrasis is provided “as is” and “as available,” without warranties of accuracy, uninterrupted availability, fitness for a particular purpose, non-infringement, or preservation of data. These terms do not exclude rights or warranties that cannot lawfully be excluded.
13. Limitation of liability
To the maximum extent permitted by law, Quiet Harbour Inc. will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of data, profits, business, opportunity, or goodwill arising from Phrasis. Our total liability will not exceed the greater of the amount you paid for Phrasis during the 12 months before the event giving rise to the claim or CAD $100. These limitations do not apply where prohibited by law.
14. Termination
You may stop using Phrasis at any time. Your licence may terminate if you materially breach these terms or Apple’s applicable terms. Provisions that should reasonably survive termination will remain in effect.
15. Changes to these terms
We may update these terms as Phrasis, platform requirements, or applicable law changes. We will publish revised terms and their effective date and provide any additional notice or obtain any consent required by law. Revised terms apply to your use of Phrasis from their stated effective date and do not apply retroactively to a dispute or claim that arose before that date. If you do not agree to revised terms, you must stop using Phrasis.
16. General terms
These terms, Apple’s applicable licence terms, and any product-specific terms we provide are the entire agreement concerning Phrasis. A delay in enforcement is not a waiver. If any provision is unenforceable, the remaining provisions will continue in effect. You may not assign these terms without our written consent; we may assign them in connection with a reorganization, merger, or sale of all or part of our business.
Ontario law governs these terms, except where the law where you live requires otherwise. Subject to any right you have to bring a claim elsewhere under applicable law, the courts located in Ontario will have exclusive jurisdiction.
